These Terms and Conditions (“Terms”) govern your access to and use of SPOTBOT Products, Services, websites, applications, software, platforms, and related systems (“SPOTBOT Services”).
Separate warranty terms, dealer agreements, or purchase terms may apply to specific Product sales or commercial relationships. The SPOTBOT Privacy Policy is incorporated into these Terms by reference.
By accessing, registering for, purchasing, installing, or using any SPOTBOT Products or Services, you acknowledge that you have read, understood, and agreed to these Terms.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE SPOTBOT PRODUCTS OR SERVICES.
1. NO LIFE-SAFETY OR CRITICAL USE
SPOTBOT Products and Services are not certified life-safety systems and are not designed or intended for use in environments where failure could result in death, personal injury, or serious property damage.
SPOTBOT Products and Services:
• are not monitored by emergency response services
• do not dispatch police, fire, medical responders, or armed response
• should not be relied upon as the sole security or safety system
SPOTBOT Products and Services are designed solely to assist with monitoring, detection, communication, and notification.
All emergencies must be reported directly to the appropriate emergency services, including SAPS, medical services, fire departments, or private armed response providers.
1A. NO GUARANTEE OF CRIME PREVENTION OR SECURITY
SPOTBOT Products and Services are intended to assist with monitoring and detection but do not guarantee protection against burglary, theft, vandalism, fire, personal injury, or any criminal or harmful activity.
You acknowledge and agree that:
• no monitoring or surveillance technology can eliminate the risk of crime
• SPOTBOT Products or Services may not detect, record, or notify you of every event or intrusion
• criminals may bypass, damage, disable, obscure, or avoid the system
• internet outages, network interruptions, power failures, software faults, environmental conditions, or hardware limitations may affect system functionality
SPOTBOT does not warrant or guarantee that use of its Products or Services will prevent crime, injury, loss, or damage.
To the maximum extent permitted by law, SPOTBOT shall not be liable for any loss, theft, injury, damages, or claims arising from failure of the system to detect, record, transmit, or notify of any event.
You remain solely responsible for maintaining appropriate security measures, including insurance coverage, physical security, alarm systems, and responsible monitoring practices.
2. ELECTRONIC CONTRACTING AND COMMUNICATIONS
By registering a SPOTBOT account, activating Products, creating an App profile, or using SPOTBOT Services, you consent to electronic contracting and communication.
Electronic acceptance, including clicking “I Agree,” digital confirmations, or account login credentials, shall have the same legal effect as a written signature.
You consent to receiving:
• operational notices
• security notifications
• service-related communications
• billing notices
• system alerts
• support communications
• marketing communications where permitted by law
Communications may be sent via email, SMS, WhatsApp, push notification, website notices, or in-app messaging.
You may opt out of marketing communications at any time by following the unsubscribe instructions or contacting info@spotbot.co.za.
3. CHANGES TO THESE TERMS
SPOTBOT reserves the right to amend or update these Terms where necessary for operational, legal, technical, security, or commercial reasons.
Material changes will be communicated through the website, application, email, or other reasonable electronic means at least fourteen (14) days before taking effect unless a shorter period is required by law or security concerns.
Continued use of SPOTBOT Services after the effective date constitutes acceptance of the revised Terms.
4. RELATIONSHIP TO PRODUCT WARRANTY
These Terms govern the use of SPOTBOT Services.
Product purchases and hardware defects are governed separately by the applicable SPOTBOT limited warranty and statutory consumer protections.
4A. REPAIRS, RETURNS, AND CPA RIGHTS
Subject to the Consumer Protection Act, 2008 (“CPA”):
• Products submitted for repair must be delivered to SPOTBOT or an authorised support centre at the customer’s cost and risk unless otherwise required by law
• SPOTBOT is not obligated to provide loan or replacement units during repairs
• CPA implied warranty claims under sections 55 and 56 shall be handled in accordance with applicable law
Nothing in these Terms limits any non-excludable rights under the CPA.
4B. STATUTORY CONSUMER RIGHTS
Nothing in these Terms limits your statutory rights under applicable South African consumer legislation, including the CPA and the Electronic Communications and Transactions Act (“ECTA”).
5. ELIGIBILITY
You must be at least 18 years old or have appropriate legal authority to use SPOTBOT Services.
SPOTBOT does not knowingly collect personal information from minors without appropriate consent.
6. ACCOUNT REGISTRATION AND SECURITY
You are responsible for:
• maintaining accurate registration information
• safeguarding your login credentials
• restricting unauthorised access to your account
You accept responsibility for activities occurring under your account.
SPOTBOT is not liable for losses arising from compromised credentials or unauthorised account access caused by your negligence.
7. SYSTEM AND CONNECTIVITY REQUIREMENTS
Certain functionality requires:
• compatible hardware and software
• reliable internet connectivity
• the SPOTBOT App
• operational mobile or Wi-Fi networks
• sufficient electrical power
You are responsible for all internet, mobile network, ISP, or data charges associated with use of SPOTBOT Services.
SPOTBOT may require Bluetooth, Wi-Fi, GPS, or other connectivity features to be enabled for certain functions.
7A. CONNECTIVITY LIMITATIONS
SPOTBOT Services rely on third-party infrastructure and internet connectivity.
SPOTBOT shall not be responsible for interruptions caused by:
• internet outages
• mobile carrier failures
• load shedding
• cloud service interruptions
• third-party platform failures
• signal limitations
• environmental interference
8. MODIFICATIONS TO SERVICES
SPOTBOT may modify, suspend, update, replace, or discontinue any portion of its Products or Services without prior notice.
You agree to install updates where required for security, compatibility, or functionality.
9. TERM AND TERMINATION
These Terms remain effective while you use SPOTBOT Services.
SPOTBOT may suspend or terminate access if:
• you violate these Terms
• misuse the Services
• engage in unlawful activity
• interfere with system integrity or security
You may terminate your account by contacting info@spotbot.co.za.
10. LIMITED LICENSE
SPOTBOT grants you a limited, revocable, non-exclusive, non-transferable license to use SPOTBOT software, firmware, and applications solely for lawful personal or authorised business use.
11. LICENSE RESTRICTIONS
You may not:
• reverse engineer software except where legally permitted
• copy or distribute software unlawfully
• remove copyright or trademark notices
• sublicense or resell software access
• exploit the system commercially without written consent
All rights not expressly granted remain reserved by SPOTBOT.
12. OPEN SOURCE SOFTWARE
Certain components may include open-source software governed by separate license terms.
Such software is provided “as is” without warranties.
13. ACCEPTABLE USE OF SPOTBOT SERVICES
You agree not to:
• interfere with system security
• transmit malware or malicious code
• gain unauthorised access to systems or accounts
• spam or abuse communication systems
• misuse the Services unlawfully
13A. WEBSITE USE, DEALER INFORMATION AND CONTACT DATA PROTECTION
All dealer listings, contact details, directories, company information, email addresses, telephone numbers, and related information published on SPOTBOT platforms are provided solely for legitimate SPOTBOT-related communication and business purposes.
13A.1 Prohibition on Harvesting and Automated Extraction
No person or entity may harvest, scrape, extract, copy, mine, collect, compile, store, reproduce, republish, or distribute information obtained from SPOTBOT platforms without prior written consent.
This includes:
• bots and crawlers
• automated scraping systems
• AI-based extraction tools
• email harvesting
• bulk copying
• commercial database creation
Unauthorised extraction or collection may result in legal action and restriction of access.
13A.2 Restriction on Unsolicited Marketing and Competitive Use
Information obtained from SPOTBOT platforms may not be used for:
• unsolicited marketing
• spam communications
• competitor targeting
• direct solicitation
• mass advertising
• commercial prospecting
• marketing competing products or services
No party may use SPOTBOT dealer or customer information to interfere with, divert, target, solicit, or commercially exploit SPOTBOT business relationships.
13A.3 POPIA Compliance
All users accessing information from SPOTBOT platforms must comply with the Protection of Personal Information Act, 2013 (“POPIA”) and all applicable privacy laws.
13A.4 Intellectual Property Rights
Dealer structures, databases, directories, branding, layouts, content, trademarks, and related information remain the property of SPOTBOT.
No reproduction or commercial exploitation is permitted without written consent.
13A.5 Monitoring and Enforcement
SPOTBOT reserves the right to:
• monitor platform usage
• restrict or block abusive users or automated systems
• investigate misuse
• pursue legal remedies for unlawful conduct
14. SERVICE LIMITATIONS
SPOTBOT Services are provided on an “as is” and “as available” basis.
SPOTBOT does not guarantee uninterrupted or error-free operation.
Delays, outages, interruptions, or failures may occur.
14A. PRIVACY AND PERSONAL INFORMATION
SPOTBOT processes personal information in accordance with POPIA and the SPOTBOT Privacy Policy.
Reasonable technical and organisational safeguards are implemented to protect personal information.
15. THIRD-PARTY SERVICES
SPOTBOT Services may depend on third-party providers including:
• cloud hosting providers
• mobile carriers
• internet providers
• app stores
• mapping services
SPOTBOT is not responsible for third-party failures or performance.
16. RELEASE REGARDING THIRD PARTIES
You release SPOTBOT from claims arising from interactions with third-party providers connected to SPOTBOT Services.
17. INDEMNITY
You indemnify SPOTBOT and its affiliates against claims, losses, liabilities, damages, or expenses arising from:
• your misuse of the Services
• violation of these Terms
• unlawful conduct
• infringement of third-party rights
18. WARRANTY DISCLAIMERS
To the maximum extent permitted by law, SPOTBOT disclaims all warranties not expressly stated.
Products and Services are provided “as is” and “as available.”
19. LIMITATION OF LIABILITY
To the maximum extent permitted by law, SPOTBOT shall not be liable for indirect, incidental, special, punitive, or consequential damages.
SPOTBOT’s aggregate liability shall not exceed fees paid by you to SPOTBOT during the preceding six (6) months where applicable.
Nothing limits liability that cannot legally be excluded under South African law.
20. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of South Africa.
Parties agree to first attempt informal dispute resolution by contacting info@spotbot.co.za.
If unresolved, disputes shall be subject to the jurisdiction of South African courts.
21. LIMITATION ON CLAIMS
Claims must be brought within the period prescribed by applicable law.
22. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties regarding SPOTBOT Services.
If any provision is found invalid or unenforceable, the remaining provisions remain effective.
23. ASSIGNMENT
You may not assign rights or obligations under these Terms without written consent from SPOTBOT.
SPOTBOT may assign these Terms freely.
24. FORCE MAJEURE
SPOTBOT shall not be liable for delays or failures caused by circumstances beyond reasonable control including:
• power outages
• internet failures
• cyberattacks
• natural disasters
• labour disputes
• governmental actions
